Item 8.01. Other Events
On July 26, 2022, Owl Rock Capital Corporation (the Company) and Nationwide Life Insurance Company (Nationwide and together with the Company, the Members and each a Member) increased their capital commitments in ORCC Senior Loan Fund LLC (ORCC SLF) to an aggregate of $571.5 million. The Company increased its contribution pro rata from $325.1 million to $500.1 million. Nationwide increased its contribution pro rata from $46.4 million to $71.4 million. The Companys economic ownership interest remains 87.5%, and Nationwides economic ownership interest remains 12.5%.
ORCC SLF, a Delaware limited liability company, operates as a joint venture between the Company and Nationwide. ORCC SLF is managed by the Members, each of which have equal voting rights. Investment decisions must be approved by each of the Members. Except under certain circumstances, contributions to ORCC SLF cannot be redeemed.
