Item 8.01 – Other Events
On June 4, 2021, Owl Rock Capital Corporation (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) by and among the Company, Owl Rock Capital Advisors LLC (the “Adviser”) and BofA Securities, Inc., as representative of the several underwriters named in Schedule I thereto (the “Underwriters”), in connection with the issuance and sale of $450 million aggregate principal amount of the Company’s 2.875% Notes due 2028 (the “Offering”).
The Offering was made pursuant to the Company’s effective shelf registration statement on Form N-2 (Registration No. 333-239775) previously filed with the Securities and Exchange Commission, as supplemented by a preliminary prospectus supplement dated June 4, 2021 and a final prospectus supplement dated June 4, 2021.
