Securities registered pursuant to Section 12(b) of the Act:

On May 26, 2021, ORCC Financing IV LLC, a wholly-owned subsidiary of Owl Rock Capital Corporation, executed a Third Amendment to the Credit Agreement, dated as of August 2, 2019, by and among ORCC Financing IV LLC, as borrower, Société Générale, as administrative agent, State Street Bank and Trust Company, as collateral agent, collateral administrator and custodian, Cortland Capital Market Services LLC, as document custodian, and the lenders party thereto.  The amendment extends the reinvestment period from August 2, 2021 until April 1, 2022 and the stated maturity from August 2, 2029 to April 1, 2030.  The amendment also reduces the total commitments from $450,000,000 to $250,000,000.  The applicable margin rate during the reinvestment period was also reduced from 2.25% to 2.15% for the remainder of the reinvestment period and from 2.50% to 2.40% after the reinvestment period.

The foregoing description of the amendment is not complete and is qualified in its entirety by reference to the full text of such agreement, which is attached hereto as Exhibit 10.1.
